Your access to and use of independentproducersguild.org (hereinafter the “Site”) is subject to the following Terms of Use (“Terms of Use”). These Terms of Use are a contract between you and International Independent Producers Guild, Inc. (“IIPG,” “we,” “our,” or “us”). If you are using this Site on behalf of any third-party or any corporation, partnership or other organization, you represent that you are authorized to accept these Terms of Use on your own and on that party’s behalf, and you do accept these Terms of Use on your own and on that party’s behalf.
1. License. As a user of the Site you are granted a limited, nonexclusive, nontransferable, revocable license to access and use the Site and its content only in accordance with these Terms of Use. We may suspend or terminate this license, modify these Terms of Use, or change or discontinue any aspect, feature, or service of the Site at any time for any reason. Please check these Terms of Use periodically for revisions. Any such revisions will be effective immediately upon posting to the Site. Your use of the Site after such posting is be deemed your acceptance such revisions.
2. Limitations on Use. Account holders of this Site agree to receive newsletters from the Site, and unsubscribing from the Site newsletter will close a user's account. The content on this Site is for information and personal use only and not for commercial exploitation. Users must be at least 18 years of age or have parental or guardian consent to use this Site. Those under the age of 18 may not submit Personal Information to our Site, in accordance with our Privacy Policy below. The Site contains interactive features that allow us to collect information, including Personal Information, as defined in our Privacy Policy, and other content (collectively, “Material”). You are solely responsible for your use of any of the features or Material. You use them at your own risk and with full understanding that we may collect Personal Information as outlined in our Privacy Policy. Your use of our Site must comply with the user guidelines herein, and all other rules we post, which may be updated from time to time. IIPG has the right, but do not the obligation, to monitor, remove, include, and edit any Material. IIPG is not liable for any failure, delay, costs, losses or damages caused by our monitoring, inclusion or removal, or editing of any Material.
You shall not:
- copy, modify, reproduce, republish, distribute, display, or transmit for commercial, non-profit or public purposes all or any portion of the Site, except to the extent expressly authorized herein or by law;
- reverse engineer, disassemble, rent, lease, loan, sell, sublicense, or create derivative works from the Site or any of its content or use any network monitoring or discovery software to determine the architecture of the Site, or to extract information about usage or users;
- use any robot, spider, algorithm, other automatic device, or manual process to access, monitor or copy our Site or any of its content (except to the extent necessary for public search engines to create searchable indices);
- record IIPG calls, videoconferences, webinars, or programs without prior express written consent from IIPG;
- provide any Material to this Site that you do not have permission, ownership, right or license to provide;
- provide objectionable, offensive, unlawful, deceptive or harmful information or content to the Site or any IIPG member;
- provide Personal Information or otherwise private or confidential information belonging to others without first obtaining their necessary consent;
- impersonate or misrepresent your affiliation with another person, corporation or entity;
- plan or engage in any illegal, fraudulent, or manipulative activity, including without limitation phishing, uploading malware of any kind, posting harmful or disruptive content or anything which could interfere with the operation of this Site or the networks or servers connected to this Site;
- engage in activity that transmits unauthorized or unsolicited advertising, scam, spam, chain letters, or any other form of solicitation
- engage in any activity that violates any local, state, national or international law, ordinance or regulation, or that gives rise to civil or criminal liability.
- Provide to any third party any material or content on this Site which has not specifically been marked as “public” or which has not in all its details already been released by the IIPG into the public domain.
You hereby agree that you are solely liable for any and all damages, costs, losses or expenses to IIPG or others resulting from your violations of any of the above proscriptions.
3. Intellectual Property: You agree that the Site is protected by copyrights, trademarks, service marks, patents, trade secret, and/or other proprietary rights and laws. Unless otherwise indicated, all names, graphics, designs, logos, page headers, button icons, scripts, commercial markings, trade dress and service names included in the Site (hereinafter “Marks”) are trademarks of the IIPG, or our licensors, sponsors or suppliers, and are protected by the intellectual property laws of the United States and other countries. You may not use, modify, publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit any of the Site’s content, in whole or in part. Except as otherwise expressly permitted under copyright law, no copying, redistribution, retransmission, publication or commercial exploitation of Material will be permitted without our express permission and that of the copyright owner. In the event of any permitted copying, redistribution or publication of copyrighted Material, no changes in or deletion of author attribution, trademark legend or copyright notice shall be made. You do not acquire ownership rights to any Materials posted on or viewed through the Site. The posting of information or Materials on the Site does not constitute a waiver of any right in such information.
IIPG respects the rights of copyright owners. If you believe that your work appears on our Site in a way that constitutes copyright infringement, please provide the following information in an email to legals@independentproducersguild.org with a hard copy to the IIPG address below. Consult your legal counsel and/or see Section 512(c)(3) of the Digital Millennium Copyright Act to confirm these requirements):
- an electronic or physical signature of the copyright owner or of the person authorized to act on behalf of the owner of an exclusive right that has been allegedly infringed;
- a description of the copyrighted work that you claim has been infringed;
- a description of where the Material that you claim is infringing is located on our Site, and information reasonably sufficient to permit us to locate the Material;
- your address, telephone number and email address;
- a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
- a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or are authorized to act on the copyright owner’s behalf.
4. Account Creation and Security. You may need an account in order to use some of the functionality of the Site. The creation of an account may include our collection of your Personal Information, as set forth in our Privacy Policy, which is detailed below and to which you agree as part of these Terms of Use. If you provide Personal Information relating to another person or company, you are responsible for obtaining any necessary consent from that person or company before providing the information to us. The IIPG is not responsible for obtaining such consent. To protect your account, please keep your username and password confidential. You are responsible for all activity that takes place on or through your account and for all information, including Personal Information about you or others that you provide whether in draft or final/completed form. If you learn of any unauthorized use of your username, password or account, please notify the IIPG at infomanager@independentproducersguild.org and take the appropriate steps to reset your password.
5. Grant of License. By providing Material to the IIPG, you understand and agree that you are granting to us, and you represent and warrant that you have the right to grant to us, a non-exclusive, perpetual, irrevocable, royalty-free right and license to use, publish, reproduce, modify, edit, redact, translate, distribute, sub-license and otherwise use such Material in any form, media or technology now known or hereafter developed for our legitimate business purposes consistent with the terms of our Privacy Policy, as applicable. You also agree that your provision of Material to the IIPG does not and shall not impose any obligation on the IIPG, whether of attribution, compensation, or otherwise, unless specifically agreed to in advance and in writing by IIPG. You shall not provide to IIPG any unsolicited scripts, treatments, pitches or other such material. You understand and agree that the IIPG is not obligated to review, use or respond to any such material, is not responsible for the protection of any such material, and may choose to discard any unsolicited material without any liability whatsoever.
6. Financial/Billing Information. We use a third-party payment processor to bill and/or process payments that you make through our Site for services and/or products including, without limitation, membership, events, programs, applications for O-1 or O-2 advisory opinions, sponsorships, donations and/or merchandise. You can add, delete or modify at any time your credit card and/or banking information, which will be temporarily stored on a server intended to be secure, and will be used solely to process your purchases. We will retain this information to facilitate servicing you in the future. The processing of payments may be subject to the terms, conditions, and policies of third-party payment services in addition to these Terms of Use. You acknowledge that we do not have control over the terms, conditions and policies of such third-parties, and that we may change third-party payment processors at any time. We have no automatic obligation to provide refunds or credits. Requests for a refund or credit will be evaluated on a case-by-case basis in our sole discretion.
7. Unlawful Activity. If you violate the provisions of these Terms of Use, we have the right to suspend or terminate your use of the Site, claim any and all legal and equitable remedies against you, and take other action that we deem necessary and appropriate, including, without limitation, reporting suspected unlawful activity to legal authorities, regulators or other such third parties and disclosing your Personal Information, usage history, posted Materials, IP addresses and other Site traffic information to them as we deem necessary.

9. Links to Third-Party Sites. Links to third-party sites may be available on our Site. Inclusion of any third-party site on this Site is for convenience only, and does not constitute our approval or endorsement of the third-party site or the products, services or opinions contained therein. You acknowledge and agree that we do not control, monitor, or review the content from third-party sites, and are not in any way responsible for the accuracy, legality, decency, or any other aspect of the contents or transmissions given or received through such sites. You agree that IIPG will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, advertising, services, products or other materials on or available from any third-party sites. Your provision of information, including Personal Information, to third-party sites is at your own risk and subject to the policies and procedures of the owners of such sites.
10. Disclaimer & Limitation on Liability. YOUR USE OF THIS SITE IS AT YOUR OWN RISK. IIPG DOES NOT WARRANT OR GUARANTEE THE ADEQUACY, COMPLETENESS, ACCURACY, CURRENCY, OR AVAILABILITY OF THE SITE OR ITS CONTENT, OR THAT THE SITE OR CONTENT WILL BE ERROR-FREE, VIRUS-FREE, OR FREE FROM OTHER HARMFUL COMPONENTS. THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND. TO THE FULL EXTENT PERMISSIBLE BY LAW, IIPG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, TITLE, OR NONINFRINGEMENT. Without limiting the foregoing, IIPG shall not be liable for any loss, injury, claim, liability, or damage of any kind (including, without limitation, any special, direct, indirect, incidental, punitive, actual, exemplary, consequential or other damages, including loss of income, pain and suffering, emotional distress, and/or attorneys’ fees), even if IIPG has been advised of the possibility of such damages, in any way due to, resulting from, or arising in connection with: (a) your use of the Site or the use of the Site on your behalf; (b) the unavailability or interruption of the Site, its content or any features thereof; (c) the Site’s content or any errors or omissions therefrom. IN NO EVENT WILL THE LIABILITY OF THE IIPG (REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE) EXCEED THE GREATER OF $100 OR THE AMOUNT YOU HAVE PAID TO IIPG FOR THE APPLICABLE CONTENT OR SERVICE OUT OF WHICH SUCH LIABILITY AROSE, AND SUCH AMOUNTS SHALL BE IN LIEU OF ALL OTHER REMEDIES WHICH YOU MAYHAVE AGAINST THE IIPG AND ANY AFFILIATED PARTY. MEMBERSHIP DUES AND ASSOCIATED FEES ARE PAID IN SUPPORT OF THE IIPG AND YOUR MEMBERSHIP IN IT, AND NOT IN CONSIDERATION OF YOUR USE OF THIS SITE OR ANY SERVICE OR BENEFIT FOUND ON OR OFFERED THROUGH THIS SITE.
12. Indemnification. You agree to indemnify, defend and hold harmless the IIPG and its officers, directors, employees, members, volunteers, agents, representatives, successors, and assigns (the “IIPG Parties”) from all claims, demands, losses, costs, expenses, obligations, liabilities, damages and deficiencies, including interest, penalties and attorneys’ fees, that may be asserted against or incurred by any one or more of them at any time by a third party due to, resulting from, or arising in connection with your use of the Site or your violation of any law or rights of any third party. You will cooperate fully as reasonably required in the defense of any such claim. IIPG and the IIPG Parties have the right to assume the exclusive defense and control of any such claim potentially subject to indemnification by you, and you shall not in any event settle any such matter without the prior written written consent of IIPG and the affected IIPG Parties.
13. Governing Law and Jurisdiction. You acknowledge and agree that the Terms of Use shall be governed by and construed in accordance with the laws of the State of California, excluding its conflict of law provisions. You hereby submit to exclusive jurisdiction in the federal and state courts of California, and you hereby expressly waive any claim of improper venue and any claim that such courts are an inconvenient forum.
14. Notices and Contact Information. Any notices required to be given to you by IIPG hereunder are deemed delivered on the next business day following the emailing to the email you have provided on the Site, or if mailed by prepaid first class post at a United States Post Office to the mailing address you have provided on this Site, on the third day following such mailing. You agree to keep your contact information on this Site current and accurate. Any notices required to be given by you to the IIPG shall be in writing and shall be seny, if by email, to legals@independentproducersguild.org and if so sent, shall be deemed delivered on the next business day following the date it is sent. Otherwise, you may give notice by prepaid registered mail to International Independent Producers Guild Inc., P.O. Box 93782, Pasadena California 91109 and notice will be deemed delivered on the date signed for.
15. General. If any part of these Terms of Use is held to be invalid or unenforceable, such part shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intention of the IIPG, and the remaining provisions shall be enforced. Section headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. Any failure of ours to act with respect to a breach by you or others of these Terms of Use does not waive our right to act with respect to subsequent or similar breaches. This Agreement sets forth the entire understanding and agreement between us with respect to the subject matter thereof. The provisions of this Agreement will survive termination or expiration to the extent necessary to carry out the intentions of the parties.

This Privacy Policy tells you how the International Independent Producers Guild, Inc.(“IIPG”, “Guild”, "we”, "our” or "us”) collects, uses, shares and processes your personal information. The term “Personal Information” as used in this Privacy Policy shall mean any information that enables us to identify you, directly or indirectly, by reference to an identifier such as your name, identification number, location data, online identifier or one or more factors specific to you. The privacy of your Personal Information is important to us. Please review this policy before submitting to us any Personal Information. By providing Personal Information to us, you are agreeing to all of the terms of this Privacy Policy. If you choose to provide your Personal Information and/or the Personal Information of others, you consent to the transfer and storage of that information on the Site’s servers.

2. COLLECTION OF PERSONAL INFORMATION
We collect different types of Personal Information about you depending upon your use of our Site and communication with us.
A. Information You Provide to Us
You may provide us with information, including Personal Information, about yourself or a third party or company by visiting our Site, submitting forms through our Site (whether in draft or final form), corresponding with us by post, phone, email or otherwise, visiting our offices, and attending and/or registering for our events, programs and services. The Personal Information we collect directly from you may include, without limitation, personal identifiers, professional or employment-related information, financial account information, commercial information, visual information, and internet activity information. Any Personal Information that you provide to us will be used by IIPG to fulfill the express or implied objective for which the information was requested or collected (e.g. if information is provided as a result of you emailing us, we will use the information provided, such as email address, to respond to you), and/or otherwise in accordance with this Privacy Policy (i.e., if you are a member of the IIPG, such information may also be used to update your member account in our database). We collect Personal Information in the following situations:
to apply for membership in the IIPG, you will be asked to create an account with a username and a password and to complete a membership application. During this process, you will be required to provide certain Personal Information (including, without limitation, name, physical address, email address, phone number, professional titles and related information, business contact information, and financial/billing information, such as billing name and address, credit card number and/or bank account information), and in some cases the Personal Information of others (including, without limitation, name, title, phone, email) who may be contacted in so we can assess your qualifications to a membership in the IIPG.
- Member Account: If your membership application is approved, you will be invited to complete your member account. You have choices about the Personal Information that you choose to include in your account, such as, without limitation, your work experience, media of expertise, particular skills, photo, and links to your professional and social media sites. You don’t have to provide Personal Information on your account; however, such Personal Information may help you get more out of your Guild membership, including by allowing other members and staff to connect you to networking and business opportunities. You may be asked to provide certain sensitive Personal Information (including, without limitation, gender, race, ethnicity, sexual orientation, birthdate, age) and to respond to questions about your interest in various Guild programs and events. You will be asked whether you would like the Personal Information on your account to be visible to other members in the IIPG Membership Directory and available to Guild staff to share with third parties who may wish to seek out professionals like you. It is your choice whether to include sensitive Personal Information on your account and, if so, whether to permit such Personal Information to be visible to other members and available to third parties through Guild staff.
- Event and Program Registration and Attendance: In order to register, attend and/or reap the benefits of a Guild event or program, you will be required to create an account and provide your Personal Information and/or the Personal Information of others, such as guests, sponsors or references, as applicable. The Personal Information that you provide may include, without limitation, name, address, phone number, email address, financial/billing information, and/or professional
- Sponsorships, Donations, Merchandise Purchases: If you submit a donation to the Guild, sponsor one of our events or purchase merchandise from us, we may collect Personal Information, such as, without limitation, your name, address, phone number, email address financial/billing information, professional information, and/or other assets pursuant to
- Applications for O-1 or O-2 Advisory Opinions: If you request an O-1 or O-2 Advisory Opinion, you must submit to us your Personal Information and/or the Personal Information of others including, without limitation, information required on the federal government’s I-129 form, your name, address, phone number, email address, financial/billing information, and/or professional information, as well as the personal information of others (including, without limitation, name, title, phone, email) who will be contacted in order for us to determine whether the advisory opinion may be
- Requesting Information, Seeking IIPG Services, and Downloading Content: If you express an interest in joining our mailing list or otherwise obtaining additional information about the Guild or our events, programs and services, use our “Contact Us” or similar features, or download certain content, we may require that you provide to us Personal Information, such as, without limitation, your name, address, phone number, email address, and professional
- Third Party Platforms: If you register for a communication platform (eg. Uberconference, Telegram, Viewstub, Google/YouTube, Zoom or others) that are or may be used by IIPG, we may ask you to provide your name and email address, or other Personal Information required to use these platforms. IIPG has no control over the treatment or use of your Personal Information on any third party platform and has no responsibility whatsoever for such thrid parety actions or use of your Personal Information.
- Video conferences and Phone Calls: To preserve the Personal Information of yourself and other IIPG members, you are not permitted to record any IIPG calls, videoconferences, webinars, or programs without prior express written consent from IIPG. If you communicate with us via videoconference or by phone, we may from time to time, for the purposes of quality control, record part or all of that videoconference or phone call. You hereby grant you consent to such recording .
- Surveys and Feedback: If you respond to our census, surveys, or otherwise voluntarily submit feedback to us, we collect the information,, including Personal Information, that you provide and may act upon it to improve our services and/or share information with third parties where permitted; and
- Office Visits: If you visit our offices, you may be required to register as a visitor and to provide legal proof of identification in currently valid goverment form.
- Other Personal Information: If you provide other Personal Information to us, we may use it for our legitimate business purposes in accordance with this Privacy
- If you provide Personal Information relating to another person or company, you are responsible for obtaining any necessary consent from that person or company prior to providing the information to us. The IIPG is not responsible for obtaining such consent.
B. Information We Collect from Third Parties About You
We may also collect Personal Information about you from other sources, including from publicly available information or from third parties who submit Personal Information about you. For example, a representative from your company or organization may provide your Personal Information on your behalf or provide us with your business contact information so that we may contact you about our events or programs. We may combine this information with Personal Information you provide to us. This helps us to update, expand, and analyze our records; identify information about nonmembers who may or may not apply for membership; and create more tailored events and programs that may be of interest to you.
C. Device and Usage Data
We collect information about your use of this Site which will help us with efficient programing, maintenance and service, and to enhance your experience of the Site. We automatically collect and store technical information about your device and your use of our Site or emails. To do this we use devices such as cookies, web beacons, and/or similar technologies. We may also collect information about your visit, including pages you viewed or searched for, page response times, download errors, length of visits to certain pages, page interaction information (such as scrolling, clicks, and mouse-overs), methods used to browse away from the page, and any phone number used to contact us by phone.

3. HOW WE USE PERSONAL INFORMATION

- to review, process and administer membership applications, event registrations, program applications, applications for O-1 or O-2 advisory opinions, and sponsorships, donations and/or merchandise purchases;
- to collect fees pertaining to membership, events, programs; applications for O-1 or O-2 advisory opinions, and sponsorships, donations and/or merchandise purchases (your credit card and/or banking information will be temporarily stored on a server intended to be secure, and will be used solely to process your transaction; we will then retain your information to facilitate servicing you in the future);
- to update and maintain the Personal Information in your member account;
- to create aggregated, anonymized statistics regarding the composition of our membership in order to better serve our membership and respond to public inquiries;
- to share your membership status with third parties and in response to public inquiries;
- if you are a member and to the extent you have chosen to share your Personal Information on your profile, to generate, publish and/or otherwise make available to members or third parties lists of IIPG members (e., for consideration for leadership positions within the Guild, recognition of service to the Guild or receipt of the Producers Mark, or otherwise), to connect you with other members via our membership directory, and to connect you with third parties requesting contact with members who match the Personal Information you have shared;
- to send you physical or digital screeners, third-party event information and our Produced By magazine;
